Where the Exposure Sits

Every Identifying Fact About Someone Else’s Workforce

A PEO concentrates the data an employer holds, then multiplies it by the number of employers it serves.

Identity at density

Social Security numbers, dates of birth, addresses, bank details and dependents, for every employee of every client, in one platform.

Health plan data

Benefits enrollment and claims support bring protected health information into a business that rarely thinks of itself as a healthcare vendor.

Money on a schedule

Payroll runs on known dates, and bank account changes are routine requests, which is exactly the combination fraud exploits.

Notification confusion

Employees expect to hear from their employer. You hold the records. Without an agreement in place, the first hours are spent deciding who speaks.

The Status Most HR Firms Do Not Realize They Hold

Benefits Administration Can Make You a Business Associate

The chain is short, and it runs entirely through definitions rather than through anything specific to the HR industry.

Step one: the plan is a covered entity

A health plan means an individual or group plan that provides, or pays the cost of, medical care, and the definition expressly includes a group health plan, meaning an ERISA employee welfare benefit plan to the extent it provides medical care. Source: 45 CFR 160.103.

Step two: administering it makes you a business associate

A business associate includes a person who provides administrative services to or for a covered entity where providing the service involves disclosure of protected health information to that person. Benefits administration for a client’s group health plan fits that description directly.

What that actually changes

It brings a federal framework into a business that was managing a commercial one. There are written agreement requirements, safeguard obligations and notification duties running to the covered entity rather than only to your client as a customer. Firms that discover this during an incident discover it at the worst possible moment.

And payroll fraud sits alongside it

Direct deposit redirection remains the characteristic loss in this sector, because the request to change a bank account is indistinguishable from legitimate traffic. The control that prevents it is procedural rather than technical, and underwriters now ask about it directly.

What the client handed you

  • Marketing and digital agencies are handed the client’s public voice and their advertising budget, which means you can be impersonated as them at scale.
  • Staffing and recruiting firms are handed complete identity documents for thousands of people who never became anyone’s employee.
  • HR consultants and PEOs are handed payroll, Social Security numbers and group health plan data, which can make you a HIPAA business associate.
  • Architecture and engineering firms are handed a working map of a building that physically exists, often one with its own security requirements.

Why it changes the policy conversation

Establish whether you are a business associate for any client plan before you buy, because it changes what the policy needs to reach. Our data breach response guide walks through the sequence.

What the Policy Does for You

Built for Someone Else’s Employees

Notification across clients

Breach response funds notifying the combined workforce of every client affected, not just your own staff.

Claims from employers

Third-party and contractual liability respond when clients come back under their service agreements.

Redirected payroll

Funds transfer fraud and social engineering cover answer direct deposit fraud, within their sublimits.

Payroll still has to run

Business interruption and extra expense respond when systems are unavailable and a pay date does not move.

Real Questions

Before You Decide

The objections we actually hear from business owners, answered straight.

Are HR consultants and PEOs subject to HIPAA?

Frequently, through a route most firms do not expect. A group health plan is a health plan, and a health plan is a covered entity. A business associate includes anyone providing administrative services to or for a covered entity where the work involves disclosure of protected health information to them. Administering a client’s group health plan therefore puts you in business associate territory, with the obligations that follow.

What data does a PEO actually concentrate?

Nearly everything that identifies a working adult. Social Security numbers, dates of birth, home addresses, bank details for direct deposit, dependent information, wage histories and benefits enrollment, multiplied across every client’s entire workforce. Very few businesses of comparable size hold a comparable density of identity data.

Why is payroll such an attractive target?

Because it moves money on a predictable schedule and because changing a bank account is a routine request. Direct deposit redirection is the characteristic fraud in this sector: an attacker updates an employee’s banking details before a run, and the loss is discovered when someone is not paid. At PEO scale, that request looks like any other Tuesday.

If we are breached, who notifies the employees?

That has to be settled before an incident, not during one. Your client is the employer and usually the party their employees expect to hear from, while you hold the records and the forensic detail. Where health plan data is involved, business associate notification duties come into play as well. Your service agreement should say who does what and within how long.

Do our clients’ own regulators reach us?

Sometimes, and the route is their contract rather than the statute. Clients in regulated sectors push their own obligations down to vendors handling workforce data, so a PEO serving healthcare, financial services or government clients will meet requirements written for those industries even though it is not directly regulated by them.

What does cyber liability insurance not cover for an HR firm?

It does not answer an employment practices claim, a benefits administration error or a fiduciary allegation, each of which belongs to its own policy. It does not pay the wages that were misdirected unless funds transfer fraud cover responds. It covers the incident, the notification, the liability and the interruption.

What Would Cyber Liability Insurance Cost Your HR Business?

Pricing follows how many worksite employees you administer, whether you handle benefits, how bank detail changes are verified, and the controls you can evidence. See the breakdown in our cost guide, or get a number for your firm.
