The architecture that makes software profitable is the same architecture that makes a single intrusion reach everyone at once.
Shared tenancy
A flaw in authorization logic or one compromised admin credential can cross tenant boundaries, turning a contained incident into a platform-wide one.
Contracts with teeth
Data processing agreements and security addenda set notice windows in hours and carry indemnities. One incident can trigger every one of them simultaneously.
A subprocessor chain
Your own vendors hold the same data. Your customer’s contract usually holds you responsible for them, whether or not you have equivalent terms in place.
Long dwell times
Intrusions in software environments are routinely discovered months after they begin, which raises hard questions about when the incident actually started relative to your policy.
Your Notice Starts Your Customer’s Clock
Breach law separates whoever owns the data from whoever stores it, and SaaS sits firmly on the storing side.
Your obligation to the customer
Under Ohio’s breach statute, any person that, on behalf of or at the direction of another person, is the custodian of or stores computerized data that includes personal information must notify that other person of a breach in an expeditious manner. Source: Ohio Rev. Code 1349.19.
What happens on their side
The data owner must then disclose to affected residents in the most expedient time possible and no later than forty-five days after discovery or after your notification. In other words, your email is the event that starts a statutory countdown your customer has to run, which is why hesitating to report looks very different to them than it does to you.
And it is not one deadline, it is fifty
Ohio is one state’s version. All fifty states, the District of Columbia and the territories have breach notification laws, and they disagree on deadlines, triggers and whether an attorney general must be told. Source: NCSL. A platform serving customers nationwide inherits all of them from a single incident.
What each kind of tech company is on the hook for
- Software and SaaS companies: you hold your customers’ data. The first claim is your customer’s customers were exposed through your platform.
- Hosting and data centers: you hold your customers’ uptime. The first claim is service credits you owe contractually, which cyber business interruption does not pay.
- Development agencies: you built the thing that failed. The first claim is a defect claim under technology errors and omissions, not a breach claim.
- Security firms: you gave the opinion that it was secure. The first claim is an errors and omissions claim that you missed what you were hired to find.
Why it changes the policy conversation
Your worst case is not one angry customer, it is every customer invoking a notice clause and an indemnity in the same week while you fund a forensic investigation. Limits sized to one contract will not reach it. Our data breach response guide walks through the sequence.
Sized for the Whole Tenant Base
Working out who must be told
Breach coach coverage funds counsel to map one incident against every state your customers’ users live in.
Claims from customers
Third-party liability and contractual liability, where granted, respond when customers come back under their data processing agreements.
Notification at platform scale
Breach response coverage funds notification and monitoring when the affected population is every end user of every customer.
Your own vendors
Dependent business interruption responds when the compromise happens at a subprocessor or cloud provider rather than in your code.
Before You Decide
The objections we actually hear from business owners, answered straight.
Does a SaaS company need cyber liability insurance?
In practice the customer decides. Enterprise buyers require evidence of cyber liability and technology errors and omissions before signing, so for most SaaS companies the policy is a condition of closing deals. The underlying reason is structural: you hold data belonging to every customer on one platform, so a single intrusion is simultaneously an incident for all of them.
If our platform is breached, who has to notify the end users?
Usually your customer, not you, and that surprises people. State breach laws generally distinguish the owner of the data from whoever stores it. Ohio’s version requires a person storing personal information on behalf of another to notify that other person expeditiously, and then gives the owner up to forty-five days to notify residents. Your notice is what starts their clock, which is why delay on your side is so expensive.
Do all states give the data owner forty-five days?
No, and assuming they do is a mistake. Every state has a breach notification law, but the deadlines, the triggers and the attorney general reporting requirements differ. A platform with customers in twenty states can face twenty different timetables from one incident, which is why the first call should be to a breach coach rather than to your account managers.
What is multi-tenancy doing to our exposure?
Concentrating it. In a single-tenant world an intrusion reaches one customer. In a shared platform, a flaw in authorization logic or a compromised administrative credential can reach the whole tenant base at once. Underwriters increasingly ask how tenants are isolated, because that architecture decision sets the size of the worst realistic loss.
Does cyber liability cover the obligations in our DPAs?
Partly, and the gap is worth finding before you need it. Data processing agreements and security addenda typically require breach notice within a fixed number of hours, cooperation with the customer’s investigation, and indemnity for your failures. Cyber liability funds the response and defends the resulting claims; it does not make an aggressive indemnity enforceable or unenforceable. Review what you signed alongside the policy.
What does cyber liability insurance not cover for a SaaS business?
It does not pay to rebuild the product, refund subscriptions or honor service credits, and it does not answer a pure performance dispute, which is technology errors and omissions territory. It also will not cover an intrusion that began before the policy incepted, which matters in a sector where dwell time is routinely measured in months.
What Would Cyber Liability Insurance Cost Your SaaS Company?
Pricing follows how many records you hold, how tenants are isolated, what your customer contracts commit you to, and the controls you can evidence. See the breakdown in our cost guide, or get a number for your company.
